Welcome to Darribni! The terms "we", "us" and "our" refer to Darribni (operated by 14932277 Canada Inc.). Darribni operates this application and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with fitness training programs, meal planning guidance, and related wellness services (the "Services").

The below terms and conditions (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms or Privacy Policy, you should not use or access our Services.

Section 1 — Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.

To use the Services, you may be asked to provide certain information such as your email address and payment information. You represent and warrant that all information you provide is correct, current and complete.

You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

Section 2 — Our Products and Services

Darribni provides digital fitness and wellness services including:

• Fitness training programs and exercise guidance
• AI-generated meal plans and nutrition guidance
• Mobile application access (iOS and Android via PWA)
• Coaching support and in-app trainer messaging

All descriptions of products and services are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product or service at any time.

Section 3 — Health, Fitness and Nutrition Disclaimers

3.1 Exercise and Fitness Disclaimer

Physical exercise involves inherent risks of injury, illness, or death. You acknowledge and agree that:

• You are voluntarily participating in fitness activities at your own risk
• You should consult a physician or qualified healthcare provider before beginning any exercise program
• You are in good physical condition to participate in fitness activities
• You assume all risks of injury, illness, or death related to your participation
• Darribni is not liable for any injuries, health issues, or adverse effects resulting from your participation

3.2 Nutrition and Meal Planning Disclaimer

Our meal plans and nutrition guidance are for educational and informational purposes only:

• We are NOT registered dietitians or medical professionals
• Our meal plans are general suggestions, not medical advice
• You should consult a healthcare provider before making significant dietary changes
• We do not provide medical nutrition therapy or treat medical conditions
• Automated meal planning may not account for individual medical needs, allergies, or dietary restrictions
• You are responsible for ensuring meal plans are appropriate for your individual health needs

3.3 Medical Consultation Required

You must consult with qualified healthcare professionals if you have:

• Any medical conditions or take medications
• Food allergies or dietary restrictions
• Eating disorders or history of disordered eating
• Are pregnant, nursing, or have special dietary needs
• Any concerns about your ability to safely participate in fitness activities

3.4 Scope of Practice

Darribni provides general fitness and nutrition education only. We do not:

• Diagnose, treat, cure, or prevent any medical conditions
• Provide medical nutrition therapy
• Replace professional medical, dietetic, or therapeutic advice
• Guarantee specific health outcomes

3.5 No Medical Advice

The Services do not provide medical advice. The information provided is not intended to diagnose, treat, cure, or prevent any disease. Reliance on any information provided by Darribni is solely at your own risk.

Section 4 — Orders and Access

When you complete a purchase, you are making an offer to purchase access to our Services. Darribni reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Darribni confirms acceptance and payment is successfully processed.

Upon successful payment, you will receive access to the purchased programs and services for the duration specified at the time of purchase (currently 8 weeks). Access is personal and non-transferable.

Your purchases are subject to our Results Guarantee Policy described in Section 5.

Section 5 — Prices, Billing and Results Guarantee

5.1 Pricing

All prices are listed in United States Dollars (USD) unless otherwise specified. Prices, discounts and promotions are subject to change without notice. The price charged will be the price in effect at the time the order is placed.

5.2 Results Guarantee and Refund Policy

We stand behind our programs. If you follow the program with genuine effort and do not see results, we will issue a full refund, subject to the following conditions:

• You must have completed at least 85% of your scheduled workouts as logged in the app during the program period
• You must have logged your meals in the nutrition diary with at least 85% compliance over the program period
• You must provide before and after photos taken at the start and end of the program
• Your refund request must be submitted within 14 days of the program end date
• Refund requests must be sent to [email protected] with your account email, workout logs, and before/after photos

Refunds will not be issued for failure to follow the program, lack of engagement, or change of mind. We reserve the right to verify compliance data from your account logs before approving any refund.

You represent and warrant that your payment information is accurate and that charges will be honoured by your payment provider.

Section 6 — Digital Delivery

Our services are delivered digitally through our mobile application and online platform. Upon successful payment processing, you will receive access credentials and instructions for accessing your purchased programs and services.

We are not liable for delays in digital delivery due to technical issues, internet connectivity problems, or events outside our control.

Section 7 — Intellectual Property

Our Services, including all trademarks, brands, text, displays, images, graphics, video, and audio, and the design, selection, and arrangement thereof, are owned by Darribni or its licensors and are protected by Canadian and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent.

Darribni's names, logos, product and service names, designs, and slogans are trademarks of Darribni. You must not use such trademarks without prior written permission.

Section 8 — Third-Party Services

The Services use third-party providers to operate, including Stripe for payment processing and Resend for email delivery. We are not responsible for the practices or content of these third-party providers. Your use of payment processing is subject to Stripe's terms and privacy policy.

The Services may contain links to third-party websites. We are not responsible for the content or accuracy of any third-party websites. If you choose to access these sites, you do so at your own risk.

Section 9 — Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy. By using the Services, you acknowledge that you have read and agree to our Privacy Policy.

Section 10 — Feedback

If you submit any ideas, suggestions, feedback, or other content, you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute such feedback for any purpose, including to improve the Services.

Section 11 — Prohibited Uses

You may not use the Services:

• For any unlawful or malicious purpose
• To infringe upon intellectual property rights
• To transmit false or misleading information
• To upload viruses or malicious code
• To reproduce, sell, or resell any portion of the Services
• To interfere with or circumvent the security features of the Services

We reserve the right to suspend, disable, or terminate your account at any time without notice if we determine that you have violated any part of these Terms.

Section 12 — Termination

We may terminate this agreement or your access to the Services at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

Section 13 — Disclaimer of Warranties

Except as expressly stated by Darribni, the Services and all products offered through the Services are provided "as is" and "as available" for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

Section 14 — Limitation of Liability

In no event shall Darribni, 14932277 Canada Inc., our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Services.

Section 15 — Indemnification

You agree to indemnify, defend and hold harmless Darribni, 14932277 Canada Inc., and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third-party.

Section 16 — Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms without affecting the validity and enforceability of any other remaining provisions.

Section 17 — Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. You and Darribni consent to venue and personal jurisdiction in the courts of Ontario, Canada.

Section 18 — Changes to Terms

We reserve the right to update, change, or replace any part of these Terms at any time by posting updates to our website. Your continued use of the Services following any changes constitutes acceptance of those changes. We will notify you of material changes by email where required by applicable law.
